Welcome to Big Audience Machine (BAM) by Moondrop Technologies AB ("Moondrop", "we", "us"). These Terms and Conditions ("Terms") govern your access to and use of our AI-powered SaaS platform (the "Service").
By creating an account, clicking "I Agree", or using the Service, you agree to be bound by these Terms and our Data Processing Agreement, which is included herein. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.
1. The service & early access status
Moondrop has developed an AI-powered SaaS platform for building an AI-native strategic context (the 'Playbook') and using it to create and manage marketing content. You are being invited to an "Early Access Program" to use and provide feedback on the Service.
You acknowledge that the Service is provided "as is" and is under continuous development. This means it may contain errors or interruptions, and its features may change over time. Moondrop personnel may, with your prior written approval (email sufficient), be granted access to your account solely for support and product improvement purposes.
2. Fees, payment, and trial
- Free trial: Your access to the Service begins with a seven (14) day free trial.
- Promotional price: After the trial, you will be charged a heavily discounted monthly fee of SEK 299 per month, excluding VAT, for an initial period of three (3) months (the "Promotional Period").
- Standard price: After the Promotional Period, we reserve the right to adjust the price to our standard price with at least thirty (30) days' written notice.
- Payment: All payments are processed monthly in advance through our payment provider, Stripe.
3. Your responsibilities & acceptable use
You are solely responsible for all content you generate and publish using the Service ("Output Data"). You agree to review all content for accuracy, factual correctness, and alignment with your commercial intent before publication.
You agree not to use the Service for any unlawful purpose, including but not limited to:
- - Uploading or generating content that infringes on the intellectual property rights of others.
- - Attempting to reverse-engineer the platform or disrupt its performance.
- - Using the Service to send spam or for other abusive commercial purposes.
4. Intellectual property & feedback
- Our IP: Moondrop owns all rights to the Service, including the software, code, and algorithms.
- Your IP: You own all rights to the materials you upload ("Input Data") and the content you generate ("Output Data").
- Feedback: We are free to use any feedback or suggestions you provide to improve the Service, without obligation or compensation to you.
- AI model training: We will not use your Input Data or Output Data to train any third-party AI models. 18All data processed via our AI sub-processors is handled through their enterprise APIs, which prohibit the use of such data for model training.
5. Confidentiality
We agree to treat all your Input Data as confidential information and will not disclose it to any third party without your prior written consent. This serves as our mutual Non-Disclosure Agreement (NDA).
6. Data processing (DPA Summary)
This section details how we process personal data on your behalf, in compliance with GDPR. You are the "Controller" and Moondrop is the "Processor".
- Purpose: To enable you to use the Service to build your Playbook and generate marketing content.
- Data types: Personal data contained within your Input Data, such as names, contact details, or professional titles.
- Our Obligations: We will only process data based on your instructions, ensure our personnel are bound by confidentiality, implement appropriate security measures, and assist you with data subject requests and data breaches. Upon termination, we will delete or return your data.
- Sub-processors: You provide general authorization for us to use the following sub-processors to provide the Service:
- - Cloud Hosting: Google Cloud Platform (GCP)
- - AI Model: OpenAI, Anthropic, Google
- - Payment: Stripe, Inc.
- - Analytics: Twilio Segment
7. Limitation of Liability & Termination
The Service is provided "as is". In no event shall Moondrop be liable for any indirect damages, such as lost profits. Our total liability shall not exceed the total amount you paid us during the three (3) months preceding the claim.
Both parties may terminate this agreement with thirty (30) days' written notice.
8. Governing Law
This Agreement shall be governed by the laws of Sweden.
